At the General and Supervisory Board's meeting held on 13th July, this corporate body approved the creation of an Audit Committee and a Remunerations Committee.

Today, Standard & Poor's Ratings Services downgraded the long-term ratings of EDP - Energias de Portugal to "BBB" from "A-" and maintaining the CreditWatch negative status on the long- and short-term ratings.

In 1Q11, EDP group increased its installed capacity by 7% to 22.2GW, mainly backed by new wind capacity (+1,058MW). In turn, generation output reached 16.9TWh (+2% YoY), 70% of which derived from CO2-free technologies (wind & hydro). Energy distributed by the group rose 5% fuelled by the gas business in Spain and by operations in Brazil. Total energy sold to clients in free market rose 9%.

On May 9, 2011, JP Morgan Chase & Co. ("JP Morgan") notified EDP that, in accordance with article 20 of the Portuguese Securities Code, it came to hold 74,151,369 ordinary shares of EDP, which corresponds to 2.03% of EDP's share capital and 2.03% of the respective voting rights.

EDP Finance BV issued and priced today a CHF 30,000,000 increase of its inaugural CHF 200,000,000 bond offering issued on the 31st January. This brings the total size for the security maturing in February 2014 with a coupon of 3.5% to CHF 230,000,000.

Today, Moody's Investors Service downgraded the senior unsecured ratings of EDP - Energias de Portugal SA and its finance subsidiary EDP Finance BV to "Baa1"/"Prime-2" with stable outlook from "A3"/"Prime-2" on review for downgrade.

On February 14, 2011, AllianceBernstein L.P.,  a subsidiary of AXA Group, notified EDP, that in accordance with article 20 of the Portuguese Securities Code, it came to hold 76,553,268 ordinary shares of EDP, which corresponds to 2.09% of EDP's share capital and 2.09% of the respective voting rights.

Today, Fitch Ratings ("Fitch") downgraded EDP - Energias de Portugal, S.A.'s (EDP) and EDP Finance B.V.'s senior unsecured ratings to "A-" from "A" and placed them on Rating Watch Negative (RWN). The agency has also placed the companies" Long-term Issuer Default Ratings (IDR) of "A-" and Short-term IDRs of "F2" on RWN. The rating actions follow the downgrade of Portugal's sovereign rating to "A-"/RWN.
