EDP Brasil acquires CELG Transmission Business

Lisbon, October 14th, 2021:Pursuant to the terms and for the purposes of article 17 of Regulation (EU) No. 596/2014 of the European Parliament and of the Council and of article 248 of the Portuguese Securities Code,EDP - Energias de Portugal, S.A. (“EDP”) is providing the following information to the market:

EDP – Energias do Brasil, S.A. (“EDP Energias do Brasil” or “Company”), 52.64%[1] held by EDP, became the winning bidder in the public auction for 100% of the equity shares of Celg Transmissão S.A. (“Celg-T”), for an amount of R$1977m (€309m, at a EUR/BRL 6.40 rate). This transaction is pending applicable regulatory approvals.

Celg-T has a portfolio of 755.5 Km of grid and operates 14 substations, located mainly in the state of Goiás. The concession period covers until 2043 and 2046. The Annual Allowed Revenue (“Receita Anual Permitida” – “RAP”) is R$ 223.0 million (2021/2022 cycle).

The transaction is aligned with EDP’s growth strategy for the regulated electricity networks in Brazil, that was defined in the 2021-2025 business plan.
